Sunlight Supply, Inc. acquired by The Scotts Miracle-Gro Company for $450 million
June 2018
Doug advised Buckley Law, representing the seller, in connection with the sale of the assets of Sunlight Supply, Inc. and various of its affiliates for $450 million to Hawthorne Hydroponics LLC (“Hawthorne Gardening”), a wholly-owned subsidiary of The Scotts Miracle-Gro Company (“SMG”).  Doug provided legal counsel for general business and intellectual property matters, particularly as to ownership, value, and strength of IP assets, throughout due diligence and closing.  Jones Day represented the purchaser.  The transaction is expected to greatly enhance the ability of Hawthorne Gardening to meet the needs of the rapidly evolving hydroponics marketplace.
